Non-Disclosure Agreement (NDA)

 

Effective Date: October 1, 2023

 

Parties:

This Non-Disclosure Agreement ("Agreement") is entered into as of the Effective Date by and between:

1. Dynasty BuildHers Inc., including its divisions Elev8Her Collections, Elev8Her Beauty, Elev8HER Institute, Elev8Her Foundation, and the Keepin' It RealHer Podcast (collectively referred to as "Disclosing Party"), located at 401 E. Jackson Street Suite #2340, Tampa, Florida, 33602, and

2. You ("Receiving Party"), as a visitor or customer of our website.

 

Purpose:

The Disclosing Party intends to share certain confidential and proprietary information with the Receiving Party for the purpose of facilitating transactions, providing services, and enhancing user experience ("Purpose"). This Agreement outlines the terms under which such information will be protected.

 

1. Definition of Confidential Information

For the purposes of this Agreement, "Confidential Information" includes, but is not limited to:

• Business strategies, plans, and forecasts

• Financial information

• Customer and client lists

• Marketing strategies

• Trade secrets

• Proprietary processes, formulas, or methodologies

• Any other information designated as confidential, whether disclosed orally, in writing, or through any other medium

 

Confidential Information does not include information that:

• Is or becomes publicly available through no fault of the Receiving Party

• Is already known to the Receiving Party at the time of disclosure

• Is lawfully obtained from a third party without restriction

• Is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information

 

2. Obligations of the Receiving Party

The Receiving Party agrees to:

• Use the Confidential Information solely for the Purpose

• Restrict disclosure of Confidential Information to employees, agents, or third parties as necessary for the Purpose, ensuring they are bound by confidentiality obligations at least as protective as those in this Agreement

• Exercise reasonable care to protect the confidentiality of the information, at least as stringent as the care used to protect their own confidential information

 

3. Duration

The confidentiality obligations set forth in this Agreement shall remain in effect indefinitely from the Effective Date. For information that qualifies as a trade secret under applicable law, the obligations shall continue for as long as the information remains a trade secret.

 

4. Return or Destruction of Materials

Upon termination of this Agreement or upon the Disclosing Party's request, the Receiving Party shall promptly return or destroy all materials containing Confidential Information, including any copies, and certify in writing that such materials have been returned or destroyed.

 

5. Intellectual Property Disclaimer

All intellectual property rights, including but not limited to copyrights, trademarks, patents, and trade secrets, in the Confidential Information disclosed under this Agreement shall remain the exclusive property of the Disclosing Party. No license or other rights to such intellectual property are granted or implied by this Agreement. The Receiving Party acknowledges that any unauthorized use or disclosure of the Disclosing Party's intellectual property may cause irreparable harm, and agrees to notify the Disclosing Party immediately upon discovery of any unauthorized use or disclosure.

 

6. Acceptance of Agreement and Other Policies

By accessing or using the Dynasty BuildHers website, including making a purchase, you acknowledge and agree to be bound by the terms of this Non-Disclosure Agreement, as well as all other policies and terms and conditions posted on the website. If you do not agree to these terms, please refrain from using the website and its services.

 

7. Legal Compliance

If the Receiving Party is required by law or court order to disclose Confidential Information, they must provide prompt written notice to the Disclosing Party to allow for protective measures. The Receiving Party shall disclose only the portion of Confidential Information legally required and shall use reasonable efforts to obtain confidential treatment for such information.

 

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

 

9. Remedies

The Receiving Party acknowledges that unauthorized disclosure of Confidential Information may cause irreparable harm to the Disclosing Party. In the event of a breach or threatened breach, the Disclosing Party is entitled to seek injunctive relief, in addition to any other remedies available at law or in equity.

 

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior discussions, agreements, or understandings of any kind.

 

11. Amendments

Any amendments or modifications to this Agreement must be made in writing and posted on the Dynasty BuildHers website. Continued use of the website after such amendments constitutes acceptance of the new terms.

 

12. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

 

13. Waiver

Failure to enforce any provision of this Agreement shall not constitute a waiver of any term or of the right to enforce that provision.
